PRIMARY JOB OBJECTIVE

This role combines the duties of Legal, Regulatory & Compliance Officer and Corporate Secretary. The Legal, Regulatory & Compliance Officer provides internal legal advice, ensuring company compliance with laws, drafting contracts, managing risks, overseeing litigation, and guiding executives on legal matters as well as ensuring effective corporate administration and adherence to statutory, regulatory, and stock exchange obligations applicable to a public company.

KEY RESPONSIBILITIES

Board & Committee Support

Serve as Secretary to the Board and all Board Committees, including Audit, Personnel, and Nominating & Governance Committees.
Coordinate meeting materials, attend meetings, and prepare accurate and timely minutes and resolutions.
Liaise regularly with the Chair of the Nominating & Governance Committee to support governance oversight, board composition, policy development, and director evaluations.
Manage the planning and execution of shareholder meetings, including the Annual General Meeting.
Maintaining a list of directorships for current directors.

Governance & Recordkeeping

Liaise with the Registered Office to ensure that all statutory registers are maintained.
Maintain corporate records not kept by the Registered Office, governance policies and other corporate documents as directed.
Ensure compliance with the company’s Articles of Association and board charters.
Support director onboarding and continuing education.
Maintain registers of related parties and lease/contract agreements.

Regulatory Compliance

Monitor legal and regulatory developments and proactively assess their impact on the business.
Oversee compliance with securities laws and regulations, BISX rules, business license and other applicable regulatory requirements.
Ensure timely and accurate filing of all regulatory disclosures and submissions.
Serve as the primary liaison with applicable regulatory agencies, including the Securities Commission and BISX.
Develop and implement internal compliance programs, policies, and training.
Investigate and respond to any regulatory inquiries or compliance breaches.
Retain and file insider trading forms.

Legal Counsel

Draft, review, and negotiate contracts, leases and agreements.
Provide legal guidance to the executive team and other departments.
Handle or oversee legal proceedings, represent the company in court or arbitration, and conduct internal investigations.
Assist in creating and updating company policies and procedures to ensure compliance
Stay up-to-date with changes in legislation and provide training to employees on legal topics relevant to their roles.
Liaise with and manage external law firms when specialized expertise is needed
Contribute to strategic decision-making by providing context on how legal issues may impact business objectives.

QUALIFICATIONS & EXPERIENCE

University degree in Law, Business, Finance, or a related discipline; legal qualification or Chartered Secretary designation (e.g., ICSA/CGI) strongly preferred.
Minimum 8–10 years of senior-level experience in corporate governance, legal affairs, or regulatory compliance within a public company environment.
Demonstrated expertise in board support, minute-taking, and governance advisory.
Strong understanding of securities regulation and public company reporting obligations.
Exceptional integrity, organizational skill, and professional judgment.
