Position Summary:
The candidate will be responsible for supporting and assisting the Managing Counsel in overseeing the legal and commercial functions of the Legal Department as well as other staff within the Company in relation to the preparation, negotiation, and interpretation of various agreements associated with the Company’s operations in the oil and gas sector.
Duties and Responsibilities:
- Prepares, and negotiates, principal, administrative, operations and construction agreements.
- Oversees, the preparation of Board Packages for Board of Directors Meetings and Annual Shareholder Meetings.
- Participates in quarterly meetings held with the Company’s joint venture partners and regulatory bodies.
- Provides staff, contractors, and vendors with training on the Company's code of conduct policies and foreign corrupt practices guidelines.
- Collaborates with external counsel for the management of corporate governance and compliance matters as needed.
- Ensures that the Company’s processes remain in compliance with all existing laws and regulations.
- Keeps abreast of new laws and regulations that might affect the way in which the Company operates.
- Conducts thorough and precise research using recognized legal databases and resources.
Qualifications and Experience:
- Bachelor of Law Degree (LLB) with a minimum of 5 years’ experience in the preparation, administration, and monitoring of contracts or agreements.
- A Certificate of Legal Education or an equivalent professional qualification.
- Prior experience in the oil and gas sector is an asset.
Skills and Abilities:
- Effective management of multiple projects ensuring timely delivery and strong internal client service for various teams within the Company.
- Strong contract negotiation and drafting skills.
- Knowledge of oil and gas law, corporate law and regulatory frameworks within the oil and gas sector.
- Strong communication skills both written and verbal with the ability to make clear and concise presentations, to stakeholders, employees and customers.
- Ability to make clear and concise presentations to all levels of management.
- Strong problem-solving skills with the ability to review complex information, identify legal risks and challenges and propose business-focused solutions.
- Ability to multitask, prioritize and adapt in a fast-paced environment.
- Keen attention to detail with a commitment to meeting and respecting deadlines.
Excellent interpersonal skills with the ability to collaborate effectively across various disciplines
